This End User License Agreement ("Agreement") is a legal agreement between you (the "Customer") and JV Solutions 22 doo ("Licensor") for the software product Flex 365 - Contract DB, including its components, updates and documentation ("Software"). By installing or using the Software, you agree to this Agreement.
Subject to a valid paid license obtained from the Licensor, the Licensor grants the Customer a non-exclusive, non-transferable license to install and use the Software within a single Microsoft 365 tenant licensed by the Customer, for the Customer's internal business purposes. Each license covers one (1) Microsoft 365 tenant, with no limit on the number of named users within that tenant. Deployment to any additional tenant requires a separate license.
The Software is licensed, not sold. Licenses are purchased directly from the Licensor outside of the Microsoft commercial marketplace, on the terms set out in the applicable order or quotation.
The Customer shall not: (a) copy, distribute, sublicense or resell the Software except as expressly permitted; (b) reverse engineer, decompile or disassemble the Software, except to the extent permitted by mandatory law; (c) remove or alter any proprietary notices; or (d) use the Software beyond the licensed scope.
The Software and all intellectual property rights in it remain the exclusive property of the Licensor. No rights are granted other than those expressly stated in this Agreement.
Contract data and content processed through the Software remain the property of the Customer and stay within the Customer's Microsoft 365 tenant. Handling of personal data is described in the Privacy Policy at LINK.
The Licensor provides support via email and Microsoft Teams. Software updates are included free of charge for the duration of an active annual subscription.
The Software is provided "AS IS" without warranty of any kind, to the maximum extent permitted by law. The Licensor does not warrant that the Software will be error-free or uninterrupted.
To the maximum extent permitted by law, the Licensor shall not be liable for any indirect, incidental or consequential damages. The Licensor's total liability under this Agreement shall not exceed the fees paid by the Customer for the Software in the twelve (12) months preceding the claim.
This Agreement applies for the duration of the license term. The Licensor may terminate it if the Customer materially breaches it and fails to cure within 30 days. On termination, the Customer shall stop using and remove the Software.
This Agreement is governed by the laws of the Republic of Serbia, and the courts of Belgrade, Serbia shall have jurisdiction, without prejudice to mandatory consumer law.
